What the complaint alleges
The United States sued Edwards Lifesciences Corp. and Genesis MedTech Group Limited in the District of Columbia for violating the Hart-Scott-Rodino Act. The government alleges that Edwards acquired JC Medical from Genesis for $115 million, and simultaneously agreed to invest $25 million in Genesis, and that these payments were structured to avoid the HSR Act's premerger notification requirements by keeping the total value below the filing threshold.
